1. Introduction These Terms of Service constitute an agreement between you and Trident Tech, Inc., a Delaware corporation ("Trident," "we," "us," or "our"). References to "Trident" in these Terms include Trident Tech, Inc. and its subsidiaries and affiliates, including but not limited to Trident Tech LTD, a company incorporated under the laws of England and Wales. Trident Tech, Inc. is the parent company of Trident Tech LTD and other subsidiaries that may be involved in providing the Services. These Terms and Conditions govern your use of Trident's AI-powered fraud investigation services, including our proprietary case management system and integrations with platforms like Intercom and Zendesk. By using our services, you agree to these terms. 2. Services Description Trident provides AI-driven analysis of fraud reports, offering detailed investigation outcomes and recommendations. Services are available through Trident's system and through integrations with third-party platforms. 3. User Eligibility Our services are intended for use by financial institutions, including fintechs and banks. In the UK, users must be e-money registered institutions or hold an equivalent status in their respective countries. 4. Use Restrictions Users are prohibited from: - Using Trident’s services for illegal activities. - Attempting to disrupt or hack the service infrastructure. - Infringing on intellectual property rights. 5. Intellectual Property Rights Trident retains all intellectual property rights to its services, including any software, documentation, and branding. Users are granted a limited, non-exclusive licence to use the services in accordance with these terms. 6. Marketing and Promotion By using the Services, you grant Trident a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, and display your company name, logo, trademarks, and service marks (collectively, "Client Marks") in connection with the marketing and promotion of Trident's products and services, in any media formats and through any media channels, including but not limited to Trident's website, marketing collateral, press releases, and client lists. Trident acknowledges that any goodwill generated by such use of the Client Marks inures solely to the benefit of Client. 7. Liability and Indemnification Trident is not liable for decisions made based on our service outputs. Users agree to indemnify Trident against any claims arising from misuse of the services. 8. Governing Law These Terms and any action related thereto or to the Services will be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. The exclusive jurisdiction for all disputes, claims, or controversies arising out of or relating to these Terms or the Services will be the state and federal courts located in Wilmington, Delaware, and each party irrevocably submits to the personal jurisdiction of such courts. 9.
